1. Introduction

1.1 These Floral Image Terms apply to Floral Image Pty Ltd. (“Floral Image,” “we,” “us,” or “our”) customers (“customer,” “you,” or “your”) and their use of the following services (“Services”):

(a) The Floral Image websites (“Websites”); and

(b) The Free Trial; and

(c) The Floral Image products and related services, including “Paid Services”

1.2 Your access to and use of these Services is conditioned by your acceptance and compliance with these Terms. These Terms apply to all visitors to our Websites, users and all others who access or use the Services. If you are under 18 years old, you warrant that you have obtained consent from your parent or guardian and they agree to be bound by these Terms on your behalf.

1.3 By accessing or using these Services you agree to be bound by these Terms.

2. Privacy Policy

2.1 If you provide us with us with personal data, the way it is stored, collected and used can be found in our Privacy Policy.

3. Free Trial

3.1 If you submit a request for a Free Trial on our website, we will make our Services available to you until either:

(a) the end of the Free Trial period for which you and your Floral Image Representative agree on, or

(b) the acceptance of our paid Services and agreed start date between you and your Floral Image Representative.

3.2 Variations or additional Terms and conditions will be expressly made by your Floral Image Representative for the Services provided.

3.3 If you decide not to proceed with Floral Image Paid Services, you can inform your local Floral Image Representative if you wish for your data to be deleted.

4. Fees and Payments for Services

4.1 All fees and terms for Paid Services shall be pursuant to an agreement signed by you and agreed upon between you and your Floral Image Representative, who may be contacted here.

5. Intellectual Property

5.1 The Websites, including all information, text, audio, video, graphics, charts, photographs, interfaces, icons, software, data, documentation, other components and content, and the design, selection, and arrangement of content, and all intellectual property rights in the foregoing (collectively, the “Content”) are exclusively the property of Floral Image and is protected by applicable copyright laws unless otherwise indicated or, as applicable, its vendors or licensors. All of the Websites’ design, text, graphics, logos, button icons, images, audio clips, and the selection and arrangement thereof, is Copyright © Floral Image 2025, ALL RIGHTS RESERVED unless otherwise indicated. We grant you permission to electronically copy and to print in hard copy portions of our Websites for the sole purpose of placing an order with us or using the Websites as a shopping resource. Any other use of Content on our Websites, including reproduction for purposes other than those permitted above, modification, distribution, republishing, transmission, display or performance is prohibited without prior written permission from Floral Image. We own certain trademarks, trade names, logos, icons, slogans, insignia, or service marks (“Marks”). You do not have the right to use any Marks except as expressly agreed to in writing by Floral Image. In addition, the Websites may contain third-party marks and third-party copyrighted materials, which are the property of their respective owners. Nothing in these Terms grants to you any rights in or to those third-party marks or materials without such third-party's consent. Except for the rights expressly granted to you in these Terms, we reserve all other rights in and to the Websites, Content, and Marks.

6. Use of Website.

6.1 Our Websites are for your personal and non-commercial use, unless otherwise specified in these Terms. You may not use any service provided by our Websites for any other purpose, including any commercial purpose, without the prior express written permission of an authorized representative of Floral Image. You may not modify, copy, distribute, display, send, perform, reproduce, publish, license, create derivative works from, transfer, sell or otherwise infringe on any intellectual property rights or Content related to any information, content, software, products or services obtained from or otherwise connected to our Websites.

7. Links to other websites or apps

7.1 Our Services may contain links to third party websites, or Services that are not owned or controlled by Floral Image Pty Ltd.

7.2 Floral Image has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party websites or Services. You further acknowledge and agree that Floral Image shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or Services available on or through any such websites or Services.

7.3 We only provide links to external websites as a convenience, and the inclusion of such a link to external websites do not imply our endorsement of those websites.

7.4 You acknowledge and agree that when you access other websites on the Internet, you do so at your own risk. We strongly recommend that you read the privacy policies and Terms of Services of any third party websites or apps that you visit.

8. Comments, Feedback, and other Submissions.

8.1 We welcome your comments and feedback regarding our Websites and our products and services. 13. Governing Law and Jurisdiction

13.1 The laws of the United States and Canada shall govern these Terms, without regard to principles of conflicts of law. By using our Websites, you expressly consent to exclusive jurisdiction and venue in the courts located in the state of Georgia and, if in Canada, the province of Ontario and waive any objection to such courts, including without limitation on the basis of jurisdiction, venue or inconvenience of forum.

14. Entire Agreement

14.1 These Terms and any terms posted throughout our Websites are the entire agreement between you and Floral Image with respect to your access to and use of our Websites.

15. Severability

15.1 If any provision of these Terms is held invalid, void, or unenforceable, that provision will be severed from the remaining provisions and the remaining provisions will remain in full force and effect. The headings in these Terms are for convenience only and do not affect the interpretation of these Terms.

16. Waiver

16.1 If Floral Image fails to enforce any provision of these Terms, such failure will not constitute a waiver of that provision or any other provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by Floral Image.

17. Changes

17.1 We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If these Terms have been modified, we will provide notice prior to any new Terms taking effect

17.2 It is your sole responsibility to periodically check the Terms for any changes when you visit our website. Your continued use of these Services will be deemed as your acceptance of these Terms.
